Please read the terms of the Confidentiality Deed carefully. By submitting this form and ticking the acknowledgement below, you enter into a legally binding non-disclosure agreement with Legend Business Broking and its represented vendors.
NON-DISCLOSURE & CONFIDENTIALITY AGREEMENT
Parties: Legend Business Broking Pty Ltd ("Broker") as agent for the Vendor, and the Prospective Buyer ("Recipient").
1. Confidential Information: The Recipient acknowledges that all proprietary data, financial statements, client lists, lease agreements, operational procedures, supplier arrangements, and business identities disclosed by Legend Business Broking or the Vendor constitute valuable, strictly confidential commercial information.
2. Duty of Confidentiality: The Recipient agrees to hold all Confidential Information in the strictest confidence. The Recipient shall not copy, reproduce, disclose, distribute, or publish any part of the information to any person, company, or third party without prior written consent of Legend Business Broking.
3. Permitted Disclosure: The Recipient may disclose the information solely to their professional advisers (e.g., solicitors, CPAs, or accredited financial planners) exclusively for assessing the transaction, provided such advisers agree in writing to be bound by the same confidentiality terms.
4. Strict Non-Circumvention & Direct Contact Prohibition: The Recipient expressly agrees NOT to contact the business owner, premises landlord, staff, customers, suppliers, or competitors directly under any circumstances. All inquiries, inspections, offers, and negotiations must be conducted solely through Legend Business Broking.
5. Return or Destruction of Materials: Should the Recipient decide not to proceed with the acquisition, all received documents, notes, and records must be returned immediately or destroyed upon request.
6. Governing Law: This agreement is governed by and construed in accordance with the laws of the State of New South Wales (NSW), Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales.
